Terms of Service

These Terms govern access to and use of Flidget’s software, APIs, dashboard, documentation, and related services. Please read them carefully before using the Service.

Agreement to terms

By creating an account, clicking to accept, or using Flidget ("Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to the entity.

If you do not agree, do not access or use the Service. We may refuse service or close accounts for violations of these Terms.

Definitions

  • “Flidget,” “we,” “us.” The provider of the Service.
  • “Customer,” “you.” The person or entity that registers for the Service.
  • “End user.” A visitor on your properties who interacts with the Flidget widget or related flows.
  • “Customer data.” Data you or end users submit to the Service, including conversation content and configuration.

The Service

Flidget provides tools to capture and analyze cancellation-related conversations (including through an embeddable widget), dashboards, reporting, and related functionality we describe on our website or in your order. We may update, add, or retire features; where changes are material and negative to paid plans, we will use reasonable efforts to provide notice as described in your plan or order.

The Service depends on third-party infrastructure and integrations. Occasional maintenance, outages, or upstream changes may affect availability.

Eligibility & accounts

You must be at least the age of majority in your jurisdiction (and at least 16) to use the Service. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account. Notify us promptly at support@flidget.com if you suspect unauthorized access.

Account information must be accurate. You may not share accounts in a way that circumvents licensing or security controls.

Plans, trials & billing

Free and paid plans may be offered. Fees, renewal terms, taxes, and refund rules are presented at checkout and in communications from our payment provider (for example Paddle, which may act as merchant of record). By purchasing, you agree to the payment provider's terms in addition to these Terms.

Unless stated otherwise, subscriptions renew automatically until cancelled through the billing interface or instructions we provide. Failure to pay may result in suspension or termination of access. Downgrades may take effect at the next billing period.

Trials convert to paid plans only where you explicitly authorize purchase; trial length and limits are shown in-product.

Acceptable use

You agree not to:

  • Use the Service in violation of applicable law, export controls, or third-party rights.
  • Probe, scan, or test the vulnerability of our systems without authorization; interfere with or disrupt the Service or other users.
  • Attempt to access data or accounts you are not authorized to use.
  • Use the Service to send malware, spam, or deceptive content, or to build a competing product through unauthorized scraping of our UI or APIs.
  • Misrepresent identity, forge headers, or manipulate usage metrics.
  • Use the AI features to generate unlawful, harassing, discriminatory, or infringing content, or to process special-category data without a lawful basis.

We may investigate suspected violations and cooperate with law enforcement. We may suspend or terminate access for breach.

Customer data & the widget

As between you and Flidget, you retain ownership of Customer data. You grant us a non-exclusive license to host, process, transmit, display, and create derivative analytics (such as tags and aggregates) as reasonably necessary to provide, secure, and improve the Service — and as described in our Privacy Policy.

You are responsible for: (a) lawful collection and use of End user data via the widget and your properties; (b) providing any required notices and obtaining consents; and (c) your agreements with End users. You represent that you have all rights necessary to submit Customer data to the Service.

Where we process personal data on your behalf in connection with the Service, our data processing terms (including any Data Processing Agreement offered to enterprise customers) apply where executed.

AI-generated content

The Service may use artificial intelligence to generate responses, summaries, or classifications. Output may be inaccurate or incomplete. You are responsible for reviewing outputs used in customer-facing or compliance-sensitive contexts. Flidget does not warrant that AI output will be error-free or suitable for any particular purpose beyond what is expressly stated in a separate written agreement.

Intellectual property

Flidget and its licensors own all rights in the Service, including software, branding, documentation, and aggregate analytics (excluding your Customer data). Subject to these Terms and your payment obligations, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term.

You may not copy, modify, distribute, sell, or reverse engineer the Service except where applicable law permits despite this limitation and only to the minimum extent required.

Confidentiality

Each party may receive non-public information from the other ("Confidential Information"). The recipient will use reasonable care to protect Confidential Information and use it only for the purpose of the Service. Exclusions include information that is public, independently developed, or rightfully received from a third party without duty of confidentiality.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIDGET DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER FLIDGET NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

FLIDGET'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FLIDGET FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), IF YOU HAVE NOT HAD PAYMENT OBLIGATIONS.

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.

Indemnity

You will defend, indemnify, and hold harmless Flidget and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Customer data, your use of the Service in breach of these Terms, or your violation of law or third-party rights — except to the extent caused by Flidget's willful misconduct.

Suspension & termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk to security or others, non-payment, or extended inactivity as described in-product. Upon termination, your right to use the Service ceases. We may delete Customer data after a reasonable retention period consistent with our Privacy Policy and backups, except where retention is required by law.

Sections intended to survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) survive termination.

Changes to terms

We may modify these Terms from time to time. We will post the updated Terms with a new "Last updated" date. For material changes to paid customers, we may provide additional notice (e.g. email). Continued use after the effective date constitutes acceptance where permitted. If you do not agree, stop using the Service and cancel your subscription where applicable.

Governing law & disputes

These Terms are governed by the laws of the jurisdiction specified in your order or, if none is specified, the laws applicable to Flidget's primary place of business, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive jurisdiction, except where mandatory consumer protections require otherwise.

Before filing a claim, you agree to contact us to attempt informal resolution. If you are a consumer, you may have mandatory local rights that cannot be waived by contract.

General

  • Entire agreement. These Terms and referenced policies are the entire agreement regarding the Service and supersede prior oral or written understandings on the same subject.
  • Assignment. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
  • Severability. If a provision is unenforceable, the remainder remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Force majeure. We are not liable for delays or failures due to events beyond reasonable control.
  • Third-party services. Integrations and links to third-party sites are governed by their terms.
